MCA General Circular No. 08/2020 dated 06th March 2020 provides how forms will be filed in the Registry (MCA-21) by the Insolvency Professional viz. IRP / RP / Liquidator appointed under IBC 2016.
Purpose of the Form GNL-2
The company can file certain documents with the ROC through Form GNL-2, especially in cases where no Form is prescribed for filing any document with RoC.
Indicative list of the Instances where form GNL-2 is used
- Form GNL-2 is to be filed for the filings of forms or other documents in respect of the companies which are undergoing any proceedings under the IBC 2016.
- Prospectus
- Information Memorandum
- Private placement offer letter
- Record of a private placement offer to be kept by the company
- Circular for inviting deposits
- Circular in the form of advertisement for inviting deposits
- Form 149 of the Companies (Court) Rules, 1959
- Form 152 of the Companies (Court) Rules, 1959
- Form 153 of the Companies (Court) Rules, 1959
- Form 154 of the Companies (Court) Rules, 1959
- Form 156 of the Companies (Court) Rules, 1959

How Form GNL-2 will be processed done?
Form GNL-2 will be processed by the RoC in the following ways:
- Non – STP mode for all the purposes other than ‘Prospectus’.
- STP mode for the purpose of filing of ‘Prospectus’
Some Important Points / Facts with respect to Form GNL-2
- It is mandatory to select designation as ‘Others’ in case of filing with the purpose ‘Filing under Insolvency and Bankruptcy Code, 2016’.
